To the Klaxoon general terms of sales

The Service offered by KLAXOON is available via a SAAS subscription with the Enterprise offer detailed below:

* Except for Sessions activities, limited to 300 simultaneous accesses.

There are two types of users:

User access rights (from Pro to Free or from Free to Pro) are managed by a Pro User designated as "Administrator" or "Admin" of the Team Console.

The Enterprise plan includes two levels of Support and Customer Success services:

The Enterprise plan is a customizable subscription including the following features:

Pricing for the Enterprise plan is based on the number of Pro Users and the Audience purchased.

Ex: On the 1st of the month, Sean and Fay are invited to join a Klaxoon activity. Sean and Fay are part of the same team, Sean is a Pro user, Fay is not. The Audience number for this month will be 1 even though Sean and Fay take part in many Klaxoon activities during the month.

In a month, Sean (Pro user) invites 8 of his colleagues to a meeting on the Klaxoon platform, and then, in the same month, Sean invites 20 colleagues to an activity, including the 8 from the first meeting. The Audience will be 20.

The Enterprise subscription is co-termed with Wrike subscription, with a minimum initial order of 5 Pro Users and an Audience of 100 Monthly unique contributors.

During the Contract, it is possible to increase the initial subscription to answer user needs. The client can therefore:

The Team Console Administrator allocates Pro User licenses within the limit of the initially subscribed subscription.

Once this limit has been reached, the Client may increase the number of Pro User licenses initially subscribed to for the remaining duration of the Contract by placing a new Order with KLAXOON. The cost of these new Licenses is calculated prorata temporis according to the remaining subscription period of the Contract.

If the Client does not know the number of Pro Users to be allocated in advance, it may opt for the "Flexible" option. The Administrator can then allocate, without additional cost and with no threshold limit, additional Pro User Licenses for a six (6) months period (the "Flexible Period") starting from the date of activation of the option.

At the end of this Flexible Period, if the Client intends to keep the additional Pro User Licenses allocated during this Flexible Period, it will have to readjust its subscription upwards. Otherwise, any Pro User Licenses over the initial subscription will automatically be requalified as Free at the end of the Flexible Period.

The reclassification of Pro User Licenses as Free is carried out at the Client's discretion or, failing that, by KLAXOON following the order of activation of the Licenses, from the most recent to the oldest*.

**All activities created by Pro Users reclassified as Free Users will be closed.

Provided that the Client has readjusted the subscription at the end of the first Flexible Period, a new Flexible Period begins.

On the anniversary date of the Contract, the Client may revise the subscription according to its needs.

If the Audience measured by KLAXOON exceeds the Audience initially purchased for two consecutive months ("The Authorized Exceeding Period"), the Client must purchase a higher Audience to continue using the Service under the same conditions. The Client will then benefit from the new Audience subscribed upon receipt of the Order by KLAXOON for the remaining duration of the Contract.

For example for an Audience of 100 Monthly Unique Participants:

If the number of Monthly unique contributors is exceeded for 2 consecutive months, the Client is encouraged to upgrade to a higher Audience for the remaining months of the Contract.
